The policies listed below shall be used as guidelines by the Board of Directors (BOD) in the administration of the Small Museum Association (SMA). Each new policy or proposed revision shall be voted on by the board at a scheduled meeting where a quorum exists and adopted, amended or rejected by a majority vote. Any member of the SMA may suggest an operating policy, or an amendment to a policy, by presenting such suggested policy to a board member in writing. The original date of the adoption of each policy shall be listed as well as the latest amendment date. In the event a policy is time sensitive, a vote via email will be considered the same as a vote at a scheduled meeting. A copy of the current Operating Policies shall be made available at the Summer and Winter Conferences and will be posted on the SMA website. A notice shall be posted in the newsletter to this effect once per calendar year. The BOD may vote to deviate from policy for a specific occurrence. Such deviations shall be recorded in the minutes along with the justification and any resulting outcome of note. Item 2. Reimbursement for Winter Conference Fees.
Since one of the purposes of a BOD of any Non-profit is to financially support the organization, board members are expected to pay for their registration fees and rooms to attend the Winter Conference (WC). Registration fees are waived for WCC members. Both board members and WCC members are expected to waive speaker's fees. Under special circumstances the BOD may approve reimbursement of any of these fees for an individual member if it is deemed in the best interests of the SMA. Item 3. Conflict of Interest
Members of the SMA BOD may serve on the BOD of other organizations that have similar purposes; however, it is expected that personal integrity should preclude any actual conflict of interest. In case any member of the SMA or a similar organization perceives a conflict the board shall, at its next scheduled meeting, hear from all parties and decide if a conflict exists and if any action is necessary. Item 4. Attendance
Board members are expected to attend all regularly scheduled board meetings. Failure to attend two consecutive meetings is cause for removal unless excused by a vote of the BOD. | |||||||||||
